MUTUAL NON-DISCLOSURE AGREEMENT

7.1 Confidential Information includes all materials disclosed by either party, whether oral, written, or electronic.

7.2 The Recipient shall use the same degree of care it uses for its own confidential information.

8.1 Recipient shall indemnify Discloser for any and all losses, without limitation.

8.2 Neither party may assign this Agreement without prior written consent.

9.2 The obligations herein shall remain in effect in perpetuity.

10.1 Notices shall be delivered in writing to the addresses listed above.

11.2 Disputes shall be resolved exclusively in the courts of Hong Kong.
